Terms of Use
Velocity Tax Group, LLC (Texas) · Last updated August 23, 2026
1. What TaxApp is
TaxApp is the proprietary practice platform of Velocity Tax Group, LLC ("Velocity," "we," "us"). It manages tax documents, client records, meetings, communication, and AI-assisted tools operated under the supervision of credentialed tax professionals. TaxApp is a tool that supports professional services; it is not itself a tax preparer, advisor, or fiduciary.
2. Eligibility and accounts
- Access is by invitation only. You must be at least 18 and, for client accounts, a current client of Velocity or an authorized representative.
- Your account is personal. Do not share credentials, and notify us immediately at team@velocitytax.io if you suspect unauthorized access.
- Staff and consultant accounts require two-factor authentication. You are responsible for maintaining the security of your devices and authenticator.
- All activity on the platform is logged and auditable, including document access, edits, and deletions. Audit records are retained and cannot be altered by users.
3. Confidentiality and non-disclosure (staff and consultants)
- Confidential Information means everything you learn or access through the platform or your engagement that is not public: client identities, documents, and tax return information; the platform's features, design, roadmap, prompts, and internal workflows; firm methods, checklists, pricing, economics, and know-how; business plans and strategy; and any information a reasonable person would understand to be confidential. Confidential Information includes Velocity's trade secrets, which are protected under the Texas Uniform Trade Secrets Act and the federal Defend Trade Secrets Act.
- Client information is strictly confidential and may be accessed and used only to perform services for that client or as directed by Velocity. Access is on a need-to-know basis.
- You may use Confidential Information solely to perform your work for Velocity, and for no other purpose — including any business, product, or service of your own or of any third party.
- Never export, photograph, screen-capture, or transmit Confidential Information outside the platform except through approved firm processes.
- These obligations begin when access is granted and continue after your role or engagement ends — indefinitely for trade secrets and client information, and for five (5) years for all other Confidential Information. Departing users retain no rights to any data on the platform.
- On request or at the end of your role or engagement, you will return or permanently delete all Confidential Information in your possession outside the platform and confirm in writing that you have done so.
- Notice under the Defend Trade Secrets Act (18 U.S.C. §1833(b)): you will not be held criminally or civilly liable for disclosure of a trade secret made in confidence to a government official or attorney solely to report or investigate a suspected violation of law, or in a sealed court filing.
4. Consultants, contractors, and outside advisors
- If you access the platform as a consultant, contractor, or outside advisor, all of these terms apply to you, including confidentiality (Section 3), non-solicitation and non-circumvention (Section 5), and intellectual property and feedback (Section 10).
- Your access is a limited, revocable license for the purpose of your engagement only. Velocity may modify or end it at any time.
- You acknowledge that the platform contains tax return information protected by IRC §7216 and §6713. You may access and use it only in connection with the services Velocity engaged you to provide, and you may not make any substantive determination or give any advice affecting a client's tax liability — credentialed Velocity professionals make all such determinations.
- If you have signed a separate consulting or engagement agreement with Velocity, that agreement controls where it conflicts with these terms; otherwise these terms govern your access.
5. Non-solicitation and non-circumvention (staff and consultants)
- During your role or engagement and for twenty-four (24) months after it ends, you will not, directly or indirectly: (a) solicit, divert, or provide tax, accounting, or related services to any Velocity client you learned of or dealt with through the platform or your engagement; (b) solicit or induce any Velocity employee or contractor to end or reduce their relationship with Velocity; or (c) circumvent Velocity by approaching its clients, prospects, vendors, or partners — introduced or discovered through the platform or your engagement — to transact business that displaces or competes with Velocity's relationship.
- Nothing here prevents you from accepting employment generally, serving clients you can show you had a relationship with before your engagement, or responding to unsolicited business not derived from Confidential Information.
- Because a breach of Sections 3, 5, or 10 would cause harm money cannot fully fix, Velocity is entitled to seek injunctive relief in addition to any other remedy.
6. AI-assisted features
- TaxApp uses artificial intelligence to organize documents, summarize meetings and information, and answer questions.
- AI output is informational decision support — it is not tax, legal, accounting, or financial advice, and is not final until reviewed and confirmed by a credentialed professional. Do not act on AI output alone.
- AI answers are generated from firm knowledge and records available to your account; they may be incomplete or contain errors. Verify anything consequential with your preparer (clients) or a credentialed reviewer (staff).
- Usage limits apply to keep the platform fast, secure, and focused on its purpose. Attempting to evade limits or use AI features for purposes unrelated to the services is prohibited.
- Conversations with AI features may be reviewed by authorized staff for quality, training of firm processes, and supervision. See the Privacy Policy.
7. Meeting recordings
Some meetings are recorded and transcribed (e.g., via Fathom) to produce summaries and action items. Where recording occurs, participants are notified in accordance with applicable law. Summaries and action items become part of the engagement record.
8. Your data
Handling of personal and tax information is described in the Privacy Policy. Use or disclosure of tax return information, including for AI-assisted processing, is subject to written consent under IRC §7216 where required. We retain engagement records in accordance with our retention policy and applicable law; user accounts are deactivated, not deleted, to preserve the integrity of the audit record.
9. Acceptable use
- No attempts to access data belonging to others, probe, scan, or bypass security controls, or interfere with the platform's operation.
- No uploading of malicious code, unlawful content, or material you lack rights to.
- No scraping, reverse engineering, or automated access except as we authorize in writing.
- We may suspend or deactivate accounts that violate these terms, with or without notice, and preserve related records.
10. Intellectual property and feedback
- TaxApp — including its software, design, marks, and knowledge systems — is the property of Velocity and its licensors. You receive only a limited, revocable, non-transferable right to use the platform for its intended purpose. Client documents remain the client's; firm work product remains the firm's, subject to the engagement agreement.
- Feedback and work product. Ideas, suggestions, bug reports, feature requests, designs, documents, and other feedback or work product you provide about or through the platform ("Feedback") are assigned to and owned by Velocity, with no obligation or compensation beyond any signed engagement agreement. To the extent assignment is ineffective, you grant Velocity a perpetual, irrevocable, worldwide, royalty-free license to use Feedback for any purpose. You may not use the platform to develop, or help others develop, a competing product or service.
11. Disclaimers and limitation of liability
- The platform is provided "as is" and "as available." We do not warrant uninterrupted or error-free operation.
- To the maximum extent permitted by law, Velocity is not liable for indirect, incidental, special, or consequential damages arising from platform use. Nothing here limits liability that cannot be limited by law, or alters obligations in a signed engagement agreement.
- Deadlines matter in tax. The platform does not replace direct communication with your preparer regarding filing deadlines and obligations.
12. Electronic communications
By using the platform you consent to receive service communications electronically (email and in-app), including notices about your account and, for clients, your engagement.
13. Changes, suspension, termination
We may modify the platform or these terms. Continued use after an updated version is presented and accepted constitutes agreement. We may suspend access for security, maintenance, or violation of these terms.
14. Governing law
These terms are governed by the laws of the State of Texas, without regard to conflicts of law. Venue for disputes lies in Montgomery County, Texas, unless a signed engagement agreement provides otherwise.
